Business or Corporate Law

Civil Litigation or Dispute Resolution

• We represent businesses and individuals in disputes involving most areas of civil law including those regarding; breach of contract, leases, employment issues such as non compete agreements, employment discrimination and employment termination, debt collection, mechanics liens, property damage, negligence and fraud.

Estate Planning or Probate Law

• It is important to have an estate plan in place in the event of a death or an accident or illness that incapacitates you or a family member.  We assist you in determining the right estate planning tools for your individual circumstances.
• Durable Power of Attorney/Healthcare Declarations – You should have a durable power of attorney document that designates someone to make healthcare and financial decisions on your behalf if you are incapacitated temporarily or for a long term.  A durable power of attorney or a healthcare declaration can be used to give your designee directions to make decisions about life support and other extraordinary medical measures.
• Revocable Living Trusts – A revocable living trust allows you to distribute your assets to beneficiaries without going through probate and in certain circumstances may help to avoid or minimize the costly federal estate death tax.
• Irrevocable Trusts and Other Advanced Planning Devices – At times, for various tax, succession, special needs and other appropriate reasons, irrevocable trusts and other advanced planning instruments may be necessary or helpful to complete a person’s estate and gift planning goals.
• Last Will and Testaments – Your last will and testament should allow you to transfer your assets to your family or friends in the most efficient manner.  We can draft a will that enables the most streamlined, cost-efficient method of probate administration by making sure that your personal representative is allowed to perform his or her duties with minimal probate court involvement and supervision and without having to post a bond.  We can establish a testamentary trust in your will to ensure your minor children or grandchildren are taken care of until they are old enough to care for themselves.
• Probate – We represent clients in seeing that the wishes of their loved ones are carried out through proper probate administration of their estate and in defending and/or prosecuting claims in probate court.

Labor or Employment Law

• We represent clients in many diverse areas of labor and employment law, including, structuring proper relationships between businesses and their workers as employees or independent contractors, defending against claims of improper characterization or classification of workers as employees or independent contractors, structuring programs to meet the requirements of the wage and hour laws and defending claims of wage and hour law violations, wrongful employment termination and discrimination claims, unemployment compensation claims, workers’ compensation claims and claims of breaches of employment or independent contractor agreements.

Real Estate Law

• Buying and selling residential property – When purchasing or selling a home in a for-sale-by-owner transaction, it is important to protect your interests.   We have experience drafting and negotiating real estate contracts.
• Commercial real estate – We represent clients in the purchase and sale of commercial property, we draft and negotiate commercial leases and we assist landlords and tenants in lease disputes.

Transportation Law

• Members of our firm have represented motor carriers (freight haulers and trucking companies, household goods carriers, couriers, passenger carriers), property transportation brokers, freight forwarders, intermodal marketing companies, third party logistics providers and shippers and receivers utilizing transportation services in a broad range of transportation law-related areas for over 40 years.
• We represent and assist clients in regard to Federal, State and Local regulatory matters; motor carrier authority applications, transfers and acquisitions; transportation contract negotiations, drafting and review; property and cargo loss and damage and freight claims; freight charge collections; rate and tariff structuring; employment advice, planning and defense litigation matters; independent contractor issues (including structuring of client operations in utilizing the services of independent contractors, drafting of independent contractor agreements, taxation planning and representation of clients with regard to related tax, workers’ compensation, employment security and labor and wage and hour matters and claims); truck accident litigation; insurance issues and planning; regulatory compliance and licensing; and related counseling in regard to various representation issues.
